Developer Agreement

Effective Date: April 21, 2025

This Developer Agreement (the "Agreement") governs the relationship between Gartle Limited (the "Company"), the operator of devcryptogate.com (the "Platform"), and any party (the "Developer") that registers and uses the Platform to publish and sell Digital Products.

By registering a Developer account and publishing products on the Platform, the Developer agrees to the terms outlined below.


1. Scope of the Agreement

The Platform enables Developers to publish, manage, and distribute Digital Products, including:

  • Software product licenses
  • Subscriptions to software or services
  • Entitlements to receive services directly related to the product

All submitted products must be authentic, legally owned, and compliant with applicable intellectual property laws.


2. Developer Responsibilities

The Developer agrees to:

  • Provide accurate and verifiable business registration information
  • Maintain legal ownership or authorization for listed products
  • Respond to Buyer inquiries promptly and professionally
  • Fulfill purchases as described
  • Avoid listing unrelated or generic services not directly tied to the software
  • Refrain from impersonating brands, companies, or unauthorized third parties

All services offered by the Developer must be directly related to the software product. The Platform prohibits the listing of unrelated services.


3. Platform Role

The Company acts as the principal reseller of the Developer's products. Buyers enter into transactions directly with the Platform, which subsequently acquires the applicable product from the Developer under a resale model.

The Platform is not a payment processor, custodian, or agent of the Developer. It does not render services to Buyers on behalf of the Developer and is not a subcontractor for any listed services.


4. KYC and Compliance

The Developer must complete identity and business verification before publishing any products. This includes:

  • A business registration certificate or equivalent documentation
  • A corporate email address matching the website domain
  • Domain ownership verification (DNS record, HTML file, or meta tag)
  • A bank-issued letter from a third party confirming the applicant's authority to access financial transaction information related to the registered business
  • A document confirming the applicant’s authority to manage the account

The Platform reserves the right to request additional documents and may suspend payouts or restrict access in cases of suspected fraud, impersonation, or AML/CTF concerns.


5. Product Delivery and Refunds

Delivery is deemed complete when the activation code or access confirmation is sent to the Buyer.

If the Developer provides an invalid code and fails to resolve the issue within a reasonable time, the Platform may refund the Buyer and deduct the corresponding amount from the Developer’s payout.

Refund decisions are made solely by the Platform and are final.


6. Payment Terms

Payouts are issued periodically to the Developer’s verified cryptocurrency wallet addresses.

The Developer must provide valid payout addresses. The Platform may delay payment in cases of suspected fraud, policy violations, or pending AML review.

The payout amount is calculated as the total sales value minus applicable Platform discounts and blockchain network fees. Developers may configure minimum payout thresholds to optimize transaction costs.

Details are outlined in the Developer Payment Policy, which is incorporated into this Agreement by reference.

The Developer acknowledges that:

  • Refunds reduce future payouts
  • Blockchain network fees are deducted from each payout
  • The Platform may consolidate transactions before issuing payments

7. Pricing and Fees

The Developer sets the end-user price for each product. The Platform purchases the product at a discounted price agreed upon at listing.

The price calculation logic, token conversion procedures, and payout structure are defined in the Developer Payment Policy.


8. Termination

The Developer may remove products or close their account at any time.

The Platform may suspend or terminate the Developer’s account in cases of policy violations, legal obligations, or evidence of misconduct. Any unpaid balances may be withheld during an investigation.


9. Amendments

The Platform reserves the right to amend this Agreement with prior notice. Continued use of the Platform after such updates constitutes acceptance of the revised terms.


10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Any disputes arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the DIFC Courts in Dubai, United Arab Emirates.
